Service Agreement
[Preamble and Introduction]
Welcome to using the VJSP software and services!
In order to use the VJSP software (hereinafter referred to as the "Software") and its services, you must read and agree to abide by this Service Agreement (hereinafter referred to as the "Agreement"). Please read carefully and fully understand the content of each clause, especially those clauses that exempt or limit liability, as well as separate agreements for activating or using specific services. Limitation and exemption clauses may be highlighted in bold to draw your attention.
Unless you have read and accepted all terms of this Agreement, you should not download, install, or use the Software or related services. Your actions of downloading, installing, using, registering, or logging in shall be deemed as your acknowledgment and acceptance of the binding effect of this Agreement.
If you are under 18 years of age, please read this Agreement and the aforementioned other agreements with the accompaniment of your legal guardian.
1. Scope of the Agreement
1.1 【Applicable Parties】
This Agreement is entered into between you and Shanghai Ruicheng Software Co., Ltd. (hereinafter referred to as "VJSP") regarding your downloading, installation, use, and copying of the VJSP Software, as well as your use of VJSP-related services.
1.2 【Subject Matter of This License Agreement】
The licensed content under this Agreement refers to the license authorization of the VJSP Software and the corresponding service content provided by VJSP to you.
1.3 【Relationship Between Agreements and Conflicting Clauses】
The content of this Agreement also includes any additional agreements, business rules, and other content that VJSP may continuously publish regarding the Software. Once officially published, such content shall become an inseparable part of this Agreement, and you shall likewise comply therewith.
2. About the Software
2.1 【Content of the Software】
The Software refers to the VJSP software and services provided by VJSP, including functionalities or content such as conversational Q&A, code completion, etc. (hereinafter referred to as the "Software"), including plug-in functionalities running on code editors such as VSCode and IntelliJ IDEA.
2.2 【Form of the Software】
The Software is available as plug-in functionalities on code editors including VSCode and IntelliJ IDEA.
2.3 【Scope of Software License】
2.3.1 VJSP grants you a personal, non-transferable, and non-exclusive license to use the Software. You may use the Software on code editors such as VSCode and IntelliJ IDEA.
2.3.2 All other rights not expressly granted under Clause 2.3.1 and other provisions of this Agreement remain reserved by VJSP. You must obtain VJSP’s prior written permission to exercise any such rights. VJSP’s failure to exercise any of the aforementioned rights shall not constitute a waiver thereof.
3. Acquisition of the Software
3.1 You may download, obtain, and use the Software via the VJSP website.
3.2 If you obtain the Software or an installation program bearing the same name as the Software from an unauthorized third party, VJSP cannot guarantee the normal operation of such software and shall not be liable for any losses incurred by you as a result.
4. Installation and Uninstallation of the Software
VJSP may develop different versions of the Software for different terminal devices and operating systems. You shall select and install the appropriate version according to your actual circumstances, and you shall not install the Software on any terminal device not expressly permitted by VJSP. VJSP shall not bear any responsibility for risks or losses arising from your failure to correctly install an appropriate version of the Software.
5. Software Updates
5.1 To enhance user experience and improve service offerings, VJSP will continuously strive to develop new services and periodically provide software updates to you (which may take forms such as software replacement, modification, feature enhancement, or version upgrades).
5.2 To improve user experience and ensure service security and functional consistency, VJSP reserves the right to update the Software or modify or restrict certain features without providing you with special notice.
5.3 After the release of a new version of the Software, older versions may no longer be usable. VJSP does not guarantee continued availability, customer support, or maintenance services for older versions. Please regularly check and update to the latest version.
6. Protection of User Personal Information
6.1 Protecting user personal information is a fundamental principle of VJSP. VJSP will take reasonable measures to protect users’ personal information. Except as required by applicable laws and regulations, VJSP will not disclose or reveal user personal information to third parties without user authorization. VJSP employs professional encryption for storage and transmission of relevant information to safeguard the security of user personal information.
6.2 During account registration or while using the Software, you will be required to provide certain necessary information—for example, logging in via a VJSP account requires you to first register (and complete real-name verification) and log in to your VJSP account. If applicable laws and regulations (the term “laws and regulations” in this Agreement refers to currently effective laws, administrative regulations, judicial interpretations, local regulations, local rules, departmental rules, and other normative documents in your jurisdiction or country, as well as any amendments, supplements, and relevant policy provisions thereto) require you to provide authentic identity information (e.g., mobile phone verification code), your failure to provide complete information may prevent you from using the Software or subject you to usage restrictions.
6.3 For details on how your personal information is collected, used, stored, protected, and what rights you hold when logging into the Software with your VJSP account, please refer to the VJSP Privacy Policy.
6.4 You shall fully respect the personal information of any individual—including other users—that you learn about, receive, or access through the Software. You shall not collect, copy, store, disseminate, or otherwise use other users’ personal information without their consent. Any consequences arising therefrom shall be borne solely by you.
6.5 When using the Software and its services, if you upload or process personal information that does not belong to you, you must ensure that you have obtained explicit prior consent from the data subject (for sensitive personal information, separate consent is required). The scope of authorization must include your transmission of such personal information to VJSP and your entrustment to VJSP for data processing. Please note that your decision to provide personal information—and the type of information you provide—is entirely at your discretion. VJSP does not recommend providing personal information that may adversely affect your legitimate rights and interests, and you should not provide others’ personal information without authorization. If VJSP improperly processes data due to your failure to comply with this provision, all resulting consequences shall be borne by you. VJSP reserves the right, based on its sole reasonable judgment, to immediately take measures including deleting relevant information and data, suspending services, freezing or terminating your account, and seeking full compensation from you for all losses incurred, without assuming any liability.
6.6 【Model Optimization and Service Quality Improvement】
To continuously enhance the artificial intelligence model capabilities of the Software, optimize output quality, and improve your service experience, you acknowledge and agree that, after strictly de-identifying and anonymizing your personal information and input/output content in accordance with applicable laws and regulations and the VJSP Privacy Policy—ensuring that specific individuals cannot be identified—VJSP is entitled to use such processed data globally for internal R&D activities, including model training, optimization, testing, and evaluation of the Software. Such use shall be free of charge and non-exclusive, and VJSP undertakes to strictly comply with relevant data security and privacy protection regulations. If you refuse to grant the aforementioned authorization, you may provide feedback to us, and upon receipt of your feedback, we will cease using your data for the aforementioned purposes.
7. Main Rights and Obligations
7.1 【Account Usage Guidelines】
7.1.1 You must log in with a verified real-name VJSP account to use the Software and related services. During account registration, you shall actively check the boxes to accept the VJSP Service Agreement and the VJSP Privacy Policy and complete real-name verification as instructed. For specific rules regarding your registration, login, and use of the VJSP account, please comply with the VJSP User Agreement, related account usage agreements, and any special rules issued by VJSP for this purpose.
7.1.2 You are responsible for properly safeguarding your registered account information and password security. You shall bear legal responsibility for all activities conducted under your registered account and password. You agree not to disclose your account or password to any third party under any circumstances. If you suspect unauthorized use of your account, you shall immediately notify VJSP.
7.2 【User Notices】
7.2.1 You understand and agree that, in order to provide effective services, the Software will utilize resources of your terminal device such as processor and bandwidth. Data traffic fees may be incurred during the use of the Software. You are responsible for inquiring about relevant tariff information from your carrier and bearing such costs yourself.
7.2.2 When using a specific feature of the Software, VJSP may, upon obtaining your authorization, access certain permissions, interfaces, and related information of your terminal device to enable the corresponding functionality. You may choose not to provide certain information to VJSP or disable VJSP’s collection of certain information through product settings; however, this may result in the unavailability of related service features.
7.2.3 You understand and agree that VJSP will use commercially reasonable efforts to safeguard the security of your data stored within the Software and its services. However, VJSP cannot provide absolute guarantees, including the following scenarios:
(1) VJSP shall not be liable for deletion or storage failure of your data in the Software and/or related services caused by reasons not attributable to VJSP.
(2) You shall independently back up data, information, or any data and information related to the Software and/or its services stored therein, unless otherwise agreed by both parties.
(3) If you discontinue using the Software and/or its services, or if your usage is terminated or canceled due to your violation of laws, regulations, or this Agreement, VJSP reserves the right to permanently delete your data from its servers. Upon termination, suspension, or cancellation of your service, VJSP has no obligation to return any data to you.
7.3 You fully understand and agree that VJSP reserves the right, due to business adjustments or other reasons, to modify, suspend, interrupt, or discontinue the services provided to you upon prior notice. VJSP shall not be liable for any losses incurred by you or any third party as a result of such actions.
7.4 Please pay special attention: if you integrate the Software into your own products, applications, or features and provide external services thereby, you—as a provider of generative artificial intelligence services, deep synthesis services, and internet information services—must comply with applicable laws and regulations such as the Interim Measures for the Management of Generative Artificial Intelligence Services, the Provisions on the Administration of Algorithmic Recommendation in Internet Information Services, and the Provisions on the Administration of Deep Synthesis in Internet Information Services, and fulfill the corresponding legal obligations and liabilities regarding generated content and your users (i.e., “users of generative artificial intelligence services”), including:
(1) Implement primary responsibility for information security, establish and improve management systems for algorithm mechanism review, user registration, content management, data security and personal information protection, minor protection, staff training, etc., and possess security-controllable technical safeguards commensurate with the development of new technologies and applications.
(2) Formulate and publicly disclose management rules and platform covenants, enter into service agreements with users, prominently inform users of their information security obligations, and perform corresponding management responsibilities in accordance with law and agreement.
(3) Legally conduct real-name authentication for users; you shall not provide information publishing services to users who fail to complete real-name authentication.
(4) Legally assume the responsibilities of a network information content producer, fulfill network information security obligations, and adopt technical or manual methods to review users’ input data and generated content. Upon discovering illegal content, you shall promptly take measures such as halting generation, stopping transmission, and removal, implement model optimization and training for rectification, and report to relevant authorities; establish and maintain a feature library for identifying illegal and undesirable information, improve standards, rules, and procedures for inclusion, retain relevant network logs, and apply corresponding measures to illegal and undesirable information, including issuing warnings, restricting functions, suspending services, or closing accounts in accordance with law and agreement.
(5) Strengthen management of generative AI and deep synthesis technologies, and regularly audit, evaluate, and verify algorithm mechanisms. If you provide models, templates, or tools capable of editing biometric information (e.g., facial or voice data) or non-biometric information involving national security or public interest (e.g., specific objects or scenes), you shall conduct your own security assessments to prevent information security risks.
(6) Strengthen training data management to ensure lawful and legitimate data processing, and take necessary measures to safeguard data security. If training data includes personal information, you must also comply with personal information protection regulations and must not illegally process personal information.
(7) For images, videos, and other generated content produced by users through your products, applications, or features, you shall legally apply conspicuous technical markings to prevent public confusion or misidentification, and legally preserve log information to ensure that published or disseminated generated content can be identified and traced.
(8) You shall legally fulfill protection obligations regarding users’ input information and usage records, must not collect unnecessary personal information, must not illegally retain identifiable input information or usage records, and must not illegally disclose users’ input information or usage records to others; you shall lawfully and promptly handle user requests regarding access, copying, correction, supplementation, or deletion of their personal information.
(9) Establish and improve rumor-refutation mechanisms; upon discovering users utilizing deep synthesis technology to create, reproduce, publish, or disseminate false information, you shall promptly take appropriate refutation measures and file relevant information with cyberspace administration departments.
(10) Provide convenient and effective channels for user appeals and public complaints or reports, publish processing procedures and response timeframes, and promptly handle and respond to complaints.
(11) If you provide generative AI services with public opinion attributes or social mobilization capabilities, you shall conduct security assessments in accordance with national regulations and fulfill algorithm filing, amendment, and deregistration procedures as stipulated in the Provisions on the Administration of Algorithmic Recommendation in Internet Information Services.
7.5 To comply with national regulations on deep synthesis and generative artificial intelligence services and promote transparent use of AI-generated synthetic content, this platform adds explicit labels in AI-generated synthetic content or interactive interface scenarios and embeds implicit labels (containing attributes of generated synthetic content, service provider name or code, content ID, and other production elements) in file metadata of generated synthetic content. Please carefully read and understand the relevant labeling requirements. Specific methods for explicit labeling are as follows:
(1) Text content: Add labels such as “[AI Generated/Synthesized]” or other text or badges containing both artificial intelligence and generative/synthetic elements at appropriate locations such as the beginning/end/middle of the text or the top/bottom/background of the interactive interface.
(2) Other scenarios: Based on the characteristics of the AI generative synthetic service scenario, add labels such as “[AI Generated/Synthesized]” or other labels containing both artificial intelligence and generative/synthetic elements at appropriate locations.
8. User Conduct Guidelines
8.1 【Content Guidelines】
8.1.1 The term “content” in this section refers to any content created, copied, published, or disseminated by users during their use of the Software and its services, as well as content resources provided by third-party products during such use, including your account avatar, name, bio, profile, or any text, voice, images, videos, links, pages, and other content generated by users through the Software and its services.
8.1.2 You warrant that you either own the intellectual property rights (including copyright, trademark, patent, etc.) to any content you upload or publish, or have obtained lawful authorization, and that such content does not infringe upon the legitimate rights of any third party. Otherwise, VJSP reserves the right to take actions pursuant to Sections 8.4 and 8.5.
8.1.3 You shall comply with applicable laws and regulations when using the Software and must not create, copy, publish, or disseminate content containing any of the following, nor facilitate such activities. Otherwise, VJSP reserves the right to take actions pursuant to Sections 8.4 and 8.5:
(1) Content violating the fundamental principles established by the Constitution.
(2) Content endangering national unity, sovereignty, or territorial integrity.
(3) Content jeopardizing national security or damaging national honor or interests.
(4) Content inciting ethnic hatred or discrimination, hurting ethnic sentiments, infringing upon ethnic customs or traditions, or undermining ethnic unity.
(5) Content violating national religious policies, promoting cults or superstitions.
(6) Content promoting obscenity, gambling, violence, drug-related criminal activities, or inciting crime.
(7) Content violating social morality or fine traditional cultural values.
(8) Content defaming or slandering others or infringing upon others’ legitimate rights.
(9) Other content prohibited by laws and administrative regulations.
8.2 【Software Usage Guidelines】
8.2.1 Unless permitted by law or with VJSP’s prior written consent, you shall not engage in any of the following activities:
(1) Remove copyright notices from the Software or its copies.
(2) Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software.
(3) Use, rent, lend, copy, modify, link, reproduce, compile, publish, or create mirror sites of VJSP’s intellectual property content.
(4) Copy, modify, add to, delete, attach to, run, or create derivative works based on data released by the Software into terminal memory during operation, client-server interaction data during operation, or system data essential for Software operation, including using plugins, cheats, or unauthorized third-party tools/services to access the Software or its systems.
(5) Modify or forge instructions or data during Software operation to add, remove, or alter the Software’s functions or operational effects, or operate or publicly distribute software or methods for such purposes, regardless of commercial intent.
(6) Log in to or use the Software and/or its services via third-party software, plugins, cheats, or systems not developed or authorized by VJSP, or create, publish, or distribute such tools.
(7) Interfere with the Software and/or its services, components, modules, data, etc., either personally, by authorizing others, or via third-party software.
(8) Engage in any other activity that may affect or interfere with the normal operation of the Software and/or its services.
8.2.2 You understand and agree that, considering factors such as user experience, operational security, healthy development of the Software, and VJSP’s business objectives, VJSP reserves the right to suspend or terminate services in the following circumstances:
(1) Violation of laws, regulations, or this Agreement.
(2) Negative impact on service experience.
(3) Presence of security vulnerabilities.
(4) Inducing other users to click links or share information.
(5) Using any feature of the Software and/or its services for promotion or mutual promotion without VJSP’s prior written consent.
(6) Violation of the Software’s operational principles or non-compliance with other VJSP management requirements.
8.3 【Responsibility for Your Own Actions】
You fully understand and agree that you are solely responsible for all actions taken while using the Software and its services. Due to technical and other factors, VJSP cannot guarantee the security, accuracy, timeliness, completeness, or practicality of results obtained through your use of the Software and its services. You shall independently assess results obtained and bear all risks arising from such use. VJSP shall not be liable for any losses or damages resulting from such risks, though VJSP commits to continuously improving service quality.
8.4 【Breach Handling】
8.4.1 You understand and agree that VJSP reserves the right, at its reasonable discretion, to penalize behaviors violating applicable laws, regulations, or this Agreement, take appropriate legal action against any offending user, and retain relevant information for reporting to authorities as required by law. You shall bear all legal liabilities arising therefrom. Such legal actions include (with duration determined by VJSP based on severity):
(1) Issuing a warning to you.
(2) Restricting your use of part or all features of the Software and/or its services.
(3) Deleting, blocking relevant content, or disabling links.
(4) Suspending or terminating your use of the corresponding account under the Software (“account suspension”).
(5) Taking other reasonable and lawful measures.
(6) Pursuing your legal liability.
8.4.2 You understand and agree that any third-party claims, demands, or losses arising from your breach of this Agreement or related service terms shall be borne solely by you. If VJSP suffers losses as a result, you shall compensate VJSP accordingly.
8.4.3 You understand and agree that during public beta or trial periods (free or paid), VJSP makes no commitments regarding service availability or reliability. You shall bear full responsibility for testing or trial use of the Software and its services, including associated work, results, and liabilities.
8.5 【User-Generated Content and Complaint Handling】
8.5.1 If VJSP discovers or receives reports/complaints from others regarding user violations of this Agreement, VJSP reserves the right to delete or block relevant content without notice and impose penalties on offending accounts—including warnings, restriction or prohibition of partial or full functionality, account suspension, or termination—and publicly announce handling results based on violation severity.
8.5.2 If you discover any content within the Software and its services that infringes upon your rights or have feedback/suggestions regarding generated content, please immediately notify VJSP and provide preliminary evidence of your rights. VJSP will handle your complaint in accordance with applicable laws. However, if you publicly disseminate generated content that is sensitive, unreasonable, ambiguous, or otherwise non-compliant, any resulting infringement, disputes, or losses shall be borne solely by you, and VJSP shall not be liable.
8.5.3 If you are complained against or file a complaint against another user, VJSP reserves the right to provide necessary information—including identities, contact details, and complaint content—to involved parties or relevant authorities to facilitate timely resolution of disputes and protect legitimate rights of all parties.
9. Intellectual Property Statement
9.1 VJSP is the intellectual property rights holder of the Software. VJSP provides technical support for the development and operation of the Software. All intellectual property rights—including copyright, trademark, patent, trade secrets, etc.—and all related information content (including text, images, audio, video, charts, interface designs, layout frameworks, data, electronic documents, etc.) are protected under the laws and regulations of the People’s Republic of China and relevant international treaties. VJSP owns the aforementioned intellectual property rights, except where rights are otherwise held by relevant rights holders under applicable law.
9.2 Without VJSP’s or relevant rights holders’ prior written consent, you shall not implement, utilize, or transfer the aforementioned intellectual property for any commercial or non-commercial purpose, either personally or by authorizing any third party.
9.3 You understand and agree that during your use of the Software, you may submit text or other input content (collectively, “Input Content”). The Software generates and outputs code in response to your Input Content (collectively, “Output Content”). The specific types of Input and Output Content are subject to actual product functionalities. You understand and warrant that your Input Content and any text or code content you publish while using the Software are either original creations or lawfully authorized, and do not violate laws, regulations, infringe upon others’ legitimate rights (including intellectual property rights such as copyright, patent, trademark, as well as personality rights, personal information rights, and other rights), or contravene public order and good customs. If Input or Output Content includes content for which VJSP holds intellectual property or other legitimate rights, such rights shall remain vested in VJSP and shall not be altered by inclusion in Output Content.
10. Terminal Security Responsibility
10.1 You understand and agree that, like most internet software, the Software may be affected by various factors (including but not limited to user-related causes, network service quality, social environment, etc.) and may be subject to various security threats (including but not limited to illegal misuse of user data leading to real-world harassment; malicious programs such as viruses or trojans in other software you download/install or websites you visit, which may compromise your terminal device and data security and thereby affect normal Software operation). Therefore, you should enhance awareness of information and personal data protection, pay attention to password security, and avoid losses.
10.2 You shall not create, publish, use, or disseminate malicious programs designed to steal Software account credentials or others’ personal/property information.
10.3 Maintaining Software security and normal operation is a shared responsibility between VJSP and you. VJSP will adopt necessary technical measures in accordance with industry standards to reasonably and prudently protect information and data security on your terminal device. However, you acknowledge and agree that VJSP cannot provide any guarantees in this regard.
11. Third-Party Content, Software, or Technology
11.1 When you use the Software or request VJSP to provide specific services, the Software may invoke content resources provided by third parties or rely on third-party support for your usage or access. The results of such access, usage, or invocation are provided by the third party, and the intellectual property liability for such content, software, or technology rests with the third party.
11.2 If the Software uses third-party software or technology, VJSP will display relevant agreements or documents—such as “Software License Agreements,” “Authorization Agreements,” “Open Source Licenses,” or other forms—in accordance with applicable regulations or agreements, possibly as attachments to this Agreement, within specific folders of the Software installation package, or via open-source software pages. You shall comply with the usage requirements stipulated in such agreements or documentation for compliant use and secondary development (if applicable) of the relevant third-party open-source code or software. All such agreements or documents displayed in various forms constitute an inseparable part of this Agreement and have equal legal effect. You shall abide by these requirements. If you violate these requirements, the third party or relevant authorities may initiate legal proceedings, impose fines, or take other sanctions against you and request VJSP’s assistance. You shall bear all legal liabilities, and VJSP reserves the right to discontinue services upon discovery.
11.3 Any disputes arising from third-party content resources, software, or technology provided/uploaded to the Software or from your use of such third-party content, software, or technology via the Software shall be resolved between you and the third party. VJSP shall not assume any liability. VJSP does not provide customer support for third-party content, software, or technology. If you require support, please contact the third party directly. If VJSP suffers any direct or indirect damages, losses, or infringement claims as a result, you shall compensate VJSP accordingly.
12. Disclaimer
12.1 You understand and agree that, despite VJSP’s best efforts, due to inherent technological limitations of the underlying technology relied upon by the Software and services—and because generated content is automatically produced by artificial intelligence models—VJSP cannot guarantee the following:
(1) The Software will meet your specific needs or expectations, or that any products, services, or other content obtained through the Software will satisfy your expectations.
(2) The Software is 100% accurate, reliable, functional, timely, secure, error-free, uninterrupted, continuously stable, or free from faults.
(3) The Software does not truly understand your input like a human would, nor does it comprehend underlying risks or ethical issues. The Software’s output does not constitute advice or recommendations for your decisions. VJSP does not guarantee the authenticity, completeness, accuracy, timeliness, legality, functionality, or practicality of generated content. Generated content should not be regarded as internet news information and cannot replace professional advice from medical, legal, or other domain experts. Generated content is for your reference and auxiliary use only, does not represent VJSP’s attitudes, opinions, or positions, and you shall make independent judgments based on your own circumstances. VJSP shall not be liable for any direct or indirect losses or risks arising from your reliance on the Software.
(4) The Software’s generated content may contain flawed, unreasonable, or potentially offensive information, and such content does not reflect VJSP’s attitudes or opinions.
(5) The accuracy, stability, and completeness of code, programs, or referenced content within the Software.
12.2 You understand and agree that during your use of the Software, you may encounter force majeure or other risk factors affecting the Software. Force majeure refers to unforeseeable, insurmountable, and unavoidable objective events that significantly impact one or both parties, including natural disasters (e.g., floods, earthquakes, pandemics, storms) and social events (e.g., war, civil unrest, government actions). In such cases, VJSP will endeavor to coordinate with relevant entities for prompt resolution, but shall be exempt from liability for resulting losses to the extent permitted by law.
12.3 VJSP shall not be liable for service interruptions or disruptions caused by:
(1) Damage from computer viruses, trojans, other malicious programs, or hacker attacks.
(2) Failures in user or VJSP computer software, systems, hardware, or communication lines.
(3) Improper user operation or unauthorized use of the Software.
(4) Outdated program versions, aging equipment, and/or compatibility issues.
(5) Other circumstances beyond VJSP’s control or reasonable foreseeability.
12.4 You understand and agree that during your use of the Software, you may encounter risks from online information or other users’ behaviors. VJSP shall not be liable for the authenticity, suitability, or legality of any information, nor for damages caused by infringement. Such risks include:
(1) Anonymous or impersonated messages containing threats, defamation, offensive content, or illegal material.
(2) Misleading or deceptive acts by others causing psychological, physical harm, or economic loss.
(3) Other risks arising from online information or user behaviors.
12.5 VJSP’s right to handle illegal or non-compliant content under this Agreement does not constitute an obligation or commitment. VJSP cannot guarantee timely detection or handling of illegal activities.
13. Miscellaneous
13.1 VJSP reserves the right to amend the terms of this Agreement when necessary. You may review the latest version of the Agreement within the Software. Upon amendment, your continued use of the Software shall be deemed as your acceptance of the revised Agreement. If you do not accept the revised Agreement, you shall discontinue use of the Software.
13.2 The place of execution of this Agreement is Changning District, Shanghai, the People’s Republic of China.
13.3 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China (excluding conflict of laws principles).
13.4 In the event of any dispute or controversy between you and VJSP, both parties shall first seek amicable resolution. If no resolution is reached, you agree to submit the dispute or controversy to the competent people’s court in the place of execution of this Agreement.
13.5 The headings of all clauses in this Agreement are for reading convenience only and have no substantive meaning. They shall not serve as a basis for interpreting the Agreement.
13.6 If any clause of this Agreement is held invalid or unenforceable for any reason, the remaining clauses shall remain valid and binding upon both parties. (End of Document)
