TOKEN Purchase Agreement

Dear User,
Welcome to using the large model API services (hereinafter referred to as the "Services") provided by our company. To protect your legitimate rights and interests, please read the "TOKEN Purchase Agreement" (hereinafter referred to as "this Agreement") completely and carefully before proceeding with Token top-up. By clicking "Confirm Payment," "Top-up," or by actually completing the top-up action, you are deemed to have fully understood and agreed to accept all terms of this Agreement. If you do not agree with any content of this Agreement, please do not proceed with the top-up operation.
1. Agreement Acceptance and Modification
- This Agreement is a legally binding agreement between you ("User") and the Platform regarding Token top-up and usage.
- The Platform has the right to revise this Agreement based on changes in national laws and regulations, business adjustments, or technological upgrades. The revised agreement will be publicized through the Platform's official website, user backend, or site notifications, and will become effective for the User from the specified effective date of the announcement.
- If you continue to use the Services or perform top-ups, it is deemed that you accept the modified agreement; if you do not accept, please stop using the Services immediately and avoid subsequent top-ups.
2. Definitions
- Token: Refers to the basic unit used by the Platform to measure the text processing volume of large model inputs and outputs. Specific Token segmentation rules depend on the selected model. Chinese, English, punctuation, etc., may individually or in combination constitute a Token.
- Account Balance: Refers to the prepaid service fees obtained by the User through top-up, which can be used to exchange for Tokens, denominated in Renminbi or other currencies supported by the Platform.
- Top-up: Refers to the act of the User paying funds into their Platform account to obtain a corresponding Token quota.
3. Top-up Conditions and Methods
- Users must complete the Platform's real-name verification (individual or enterprise) before they can top up.
- Top-ups can only be made through third-party payment channels recognized by the Platform (such as Alipay, WeChat Pay).
- The top-up entity for enterprise users must be consistent with the verified enterprise information; otherwise, the top-up may fail or the account may be restricted.
- The Platform may set reasonable limits on the amount and frequency of single-day/single top-ups, as indicated on the top-up page.
4. Token Usage and Billing Rules
- Tokens are billed based on the total input + output volume. For example: user queries consume input Tokens, model replies consume output Tokens, and both are deducted from the account balance.
- Different models and different context lengths (e.g., 4K, 32K, 128K Tokens) correspond to different unit prices. Specific prices are subject to the announcements on the Platform's official website or console.
- The account balance has no validity period but is non-transferable, non-refundable, and cannot be gifted.
- Users can view Token consumption records at any time in the "Usage Details" or "Billing Center" of the Platform. Data is typically updated every 5 minutes.
5. Refund Policy
- Refunds are generally not allowed. Users should reasonably estimate the top-up amount based on actual needs.
- The Platform has the right to refuse refunds under the following circumstances:
- The user voluntarily abandons the service;
- The user violates this Agreement, Platform rules, or laws and regulations;
- The account is frozen due to security risks;
- The top-up was a user operation error (e.g., wrong account topped up, wrong package selected, etc.).
- Refunds may be considered only in very rare cases, such as when Platform system failures cause the service to be completely unavailable, and upon verification.
6. Authorized Top-ups and Account Security
- If a User authorizes a third party to top up on their behalf, they must ensure the third party is aware and consents. If the third party claims the top-up was unauthorized, the Platform has the right to:
- Immediately freeze the User's account and API Key;
- Require the User to provide proof of authorization within 30 days;
- If proof cannot be provided, the Platform will cooperate with the third party to refund the corresponding amount, and the User shall make up for any shortfall.
7. Disclaimer
- The Platform is not responsible for the security or stability of third-party payment channels. Users should claim rights from the payment service provider for losses caused during the payment process.
- Token consumption is affected by factors such as model version, input content complexity, and context length. The Platform does not guarantee that the Token consumption for each call will be completely consistent.
- Users shall bear the risk of service interruption caused by failure to monitor the balance in a timely manner.
8. Governing Law and Dispute Resolution
- This Agreement shall be governed by the laws of the mainland of the People's Republic of China.
- Any dispute arising from or in connection with this Agreement shall be settled through friendly negotiation between the parties; if negotiation fails, either party may submit the dispute to the competent people's court in the place where the Platform's operating company is located.
9. Supplementary Provisions
- Matters not covered in this Agreement shall be handled in accordance with the rules, announcements, help documents, etc., separately issued by the Platform.
- The bolded or underlined parts in this Agreement are important terms, and Users are requested to pay special attention.
